CSIA GOVERNANCE COMMITTEE CALL FOR EXPRESSION OF INTEREST

In accordance with the CSIA by-law 7.02, the CSIA National Board has appointed a Governance Committee that is composed of three (3) committee members (including a minimum of one (1) director, and two subject matter experts who need not be directors but must be members in good standing). 

The Governance Committee guides and supports the evolution and improvement of the CSIA organizational governance structure, board governance, processes, policies, risk management, and ethics-related practices. It also supports the Board in meeting its responsibility for fiduciary oversight and related obligations ensuring the CSIA is well governed by proposing the adoption and implementation of the required processes and practices 

We are currently looking for one (1) member in good standing to sit on this committee. The term for this member would ideally start on October 1, 2026, and end at the conclusion of the next AGM in November 2027. There is a possibility of another 5, 1-year terms, renewed at every AGM, for a total of maximum 6 terms. Commitment to this committee would include attending meetings on a monthly or quarterly basis, depending on the needs. 

The ideal candidate will possess key legal and governance skills including: 

• Demonstrate a solid understanding of the role, responsibilities, and legal duties of a director and the governance structure of the CSIA;
• Advise on relevant legal guidelines and policies to maintain the organization’s legality and principles of business ethics;
• Understand not-for-profit incorporation acts (e.g., ONCA in Ontario), tax statuses (e.g., CRA registration), and statutory reporting requirements;
• Experience with drafting/updating bylaws and developing policies;
• Ability to identify and evaluate governance risk and mitigating strategies;
• Capacity to interpret and negotiate MOUs, vendor contracts, and employment agreements without acting as formal corporate counsel. [Note: the CSIA has a legal firm on retainer]; and
• Ability to navigate internal disputes and mediate sensitive organizational issues.

All other qualifications being equal, the preferred candidate would provide gender, age, and regional affiliation diversity to best represent our membership composition.
